Terms & Conditions

Built for buyers, not sellers. These are the terms on which Westmore's public site, Westmore AI, domain landers, inquiry and intake forms, domain-intelligence and UDRP tools, reports, memberships and paid services are provided. Please read them carefully; by using the site, submitting an inquiry, creating an account, purchasing a service or checking a box to accept, you agree to them. Important: submitting an inquiry about a domain does not reserve it, create an agency relationship, or restrict Westmore from independently pursuing or acquiring it — a buyer-representation engagement begins only when Westmore expressly accepts it.

1. Acceptance and parties

These Terms & Conditions ("Terms") govern your use of Westmore.com, Westmore AI, our domain landers, inquiry and intake forms, domain-intelligence tools, UDRP tools, reports, memberships, subscriptions and other services made available by 1000885822 Ontario Inc., carrying on business as WESTMORE ("Westmore", "we", "us" or "our"). By accessing or using the services, submitting an inquiry, creating an account, purchasing a service, or checking a box stating that you agree to these Terms, you agree to be bound by them. You must be at least 18 years old and legally capable of entering a binding contract. If you act for an organisation, you represent that you are authorised to bind it to these Terms.

2. Nature of the service

Westmore is a buyer-side domain acquisition and domain-intelligence company, acting as a private principal rather than as your agent. Depending on the service, we may provide domain research, WHOIS/RDAP information, historical and market intelligence, confidential acquisition assistance, negotiation support, transaction coordination, UDRP research and drafting-support tools, monitoring and AI-assisted information. Westmore is not a law firm, registrar, escrow company, broker-dealer, accounting firm, tax adviser, valuation firm or financial adviser, and nothing on this site or produced by our tools constitutes legal, tax, financial, valuation or brokerage advice.

3. Inquiries do not create rights or an engagement

Searching for, identifying, discussing, submitting an inquiry about, requesting information on, or expressing interest in a domain name or other digital asset does not appoint Westmore as your agent and does not create an engagement, exclusivity, fiduciary relationship, ownership interest, expectancy, equitable interest, right of first refusal, reservation, option, priority or any other right in that asset. Unless and until Westmore expressly accepts a specific acquisition engagement, Westmore and its affiliates remain free, without restriction or liability to you, to research, contact, negotiate for, acquire, own, finance, develop, market, sell, transfer, represent another party concerning, or otherwise transact in any domain or digital asset — including one you previously identified or inquired about. We have no obligation to pursue, reserve, protect, monitor or acquire any domain merely because you submitted an inquiry.

4. Accepted buyer-representation engagements

If Westmore expressly accepts a mandate for a specific target domain, that engagement is governed by the applicable Buyer Representation & Confidential Acquisition Agreement (the "Buyer Agreement") together with any written transaction-specific terms. Where these Terms conflict with an accepted Buyer Agreement in respect of that engagement, the Buyer Agreement controls for that engagement. The specific scope, fees and terms of any engagement are agreed with you before work begins.

5. Domain intelligence and lookups

Our WHOIS/RDAP lookups, historical records, sales and DNS data, corporate information, licensed data and reports translate publicly available and licensed data into plain-language guidance. Such intelligence may be incomplete, delayed, inaccurate, redacted or subject to change, and historical ownership or other signals do not necessarily establish current beneficial ownership. Free lookups may be subject to usage limits. You are responsible for independently verifying information before relying on it for any material decision.

  • We do not publish raw registrant contact details or facilitate unsolicited contact with domain owners.
  • We do not guarantee the availability, continuity, completeness or accuracy of any third-party data source.

6. Acquisition inquiries and intake

Submitting an acquisition intake stores your information so that Westmore can privately review your target domain and, where we accept the engagement, approach the current owner confidentially on your behalf. Submitting an intake does not, by itself, purchase any domain or create a binding acquisition agreement.

  • We make no guarantee that a domain can be identified, contacted or acquired, that an owner will respond, or as to any particular price, timing, structure or outcome.
  • A parked, inactive or privacy-protected domain is not necessarily for sale.
  • The specific terms of any engagement are agreed with you, in a Buyer Agreement, before work begins.

7. Fees, start fee and success commission

Fees, start fees, success commissions, subscriptions and other charges are those shown to you at purchase or set out in the applicable Buyer Agreement or other written engagement terms. Some acquisitions require a one-time start fee before we begin, depending on the value and nature of the target; where a start fee applies, the amount is shown to you clearly before you pay. Separately, a success commission of fifteen percent (15%) of the agreed acquisition price is payable only if Westmore completes an acquisition on your behalf.

  • No result, no commission: if an acquisition does not complete, no success commission is due.
  • A start fee compensates Westmore for commencing work; it is separate from, and not applied against, the success commission unless we agree otherwise in writing.
  • Unless otherwise stated, all amounts are in US dollars and are exclusive of applicable taxes, which are your responsibility.

8. Refunds

If, after reviewing your inquiry, Westmore determines that it cannot take on your acquisition, any start fee is refunded. Once we have begun work on an engagement, the start fee reflects work performed and is generally non-refundable. Instantly delivered digital products (such as an on-demand intelligence report) are generally non-refundable once generated. Refund rights, if any, are otherwise governed by the applicable purchase or engagement terms. Nothing here limits any non-waivable rights you may have under applicable law. The $895 UDRP Builder fee is non-refundable: once you begin the UDRP process, no refund will be given — whether or not you ultimately use the material we provide. You acknowledge that you are purchasing research, analysis and drafting information to help you prepare and file a UDRP claim — not a guaranteed filing-ready document, legal advice, legal representation, or any particular outcome. Westmore is not a law firm. You remain responsible for reviewing, completing, verifying and filing your own submission, and we recommend review by qualified counsel before filing.

9. Payments and payment processing

Payments are handled by third-party payment processors. Westmore does not receive or store your full card details, and your payment is subject to the processor's own terms and privacy practices in addition to these Terms. You are responsible for providing accurate billing information.

10. Availability and pricing errors

All domains and opportunities are subject to prior sale and to continued availability from the current owner. Westmore may cancel or decline a transaction if an asset is no longer available or was quoted with an obvious error. Where a purchase proceeds, ownership or control is transferred only after full payment has been received and cleared.

11. Settlement and transfer

Where a purchase proceeds, settlement may be made by bank transfer or, at Westmore's discretion or by mutual agreement for higher-value assets, through a licensed third-party escrow service, institutional trust account or registrar transfer mechanism.

  • Any instalment, financing, DNS-use-right or custody arrangement must be separately documented; where payment is in instalments you may be granted use rights (such as DNS control) during the term.
  • If agreed payment obligations are not met, the arrangement may be terminated and amounts already paid may be non-refundable, reflecting holding and opportunity costs during the term.
  • Westmore is not responsible for registrar, registry, escrow, banking, DNS or other third-party delays or failures outside its reasonable control.

12. Non-circumvention

Where Westmore has begun work on a target at your request, any acquisition of that target domain by you, your affiliates, agents or investors within twenty-four (24) months of that engagement remains subject to the agreed success-based compensation, whether or not the acquisition is completed through Westmore.

13. Independent activity and conflicts

Before Westmore expressly accepts a Buyer Agreement for a specific target, Westmore owes no duty to stand aside from that target and may independently research, negotiate for and acquire it. Once Westmore accepts an exclusive Buyer Agreement for a specific target, Westmore will act in accordance with that agreement. A principal-acquisition structure — under which Westmore acquires a target for subsequent transfer or resale to you — must be separately disclosed or authorised as provided in the Buyer Agreement. Submitting an inquiry does not create an agency, brokerage or fiduciary relationship, and you waive claims of conflict of interest arising from Westmore's independent business activities.

14. Memberships and subscriptions

Certain features are offered on a membership or subscription basis. Recurring plans renew automatically for successive periods until cancelled, at the price and interval shown at purchase. You may cancel a renewal at any time before the next billing date; cancellation stops future renewals and does not create a right to a refund of amounts already billed for the current period, except where required by law.

15. UDRP recovery and legal research tools

Our UDRP research, case intelligence, drafting aids and response-building tools (including any assistant presented for UDRP matters) are informational and drafting-support services only. They do not constitute legal advice, do not create a lawyer-client relationship, and are not a substitute for advice from qualified counsel. You remain solely responsible for all legal decisions, deadlines, filings, factual assertions and citations, and for verifying all authorities and facts.

  • Westmore does not act as legal counsel, file a complaint or response as your lawyer, or represent you before WIPO, FORUM, CAC or any other dispute-resolution body.
  • Any acquisition assistance following a dispute is provided on a best-efforts basis; Westmore is not responsible for premium pricing an owner may set after a prior legal action.
  • Where you use a private workspace, uploaded materials remain private to it and you must not attempt to access another user's matters or data.

16. No legal, tax or financial advice; opportunity for independent advice

You acknowledge that Westmore is not a law firm and that no communication through the site, Westmore AI, reports, email, telephone, research or any other channel constitutes legal, tax, accounting or financial advice or creates a solicitor-client, attorney-client or other professional advisory relationship. By accepting these Terms or entering a paid engagement, you acknowledge that you have had a full and adequate opportunity to obtain independent legal, tax, financial and other professional advice of your choosing before proceeding, and that you are not relying on Westmore for such advice.

17. Westmore AI and automated assistants

Westmore AI and other automated assistants generate responses using AI and may be inaccurate, incomplete or out of date. Output is informational only, is not advice of any kind, and must not be treated as verified fact unless the underlying data is identified as verified. Westmore AI cannot create an engagement, submit an offer, contact an owner, accept a price, or bind Westmore or you unless the applicable system expressly confirms that the action occurred. Please do not share sensitive personal, financial or confidential information in a chat that you would not want stored for the purpose of responding to you.

18. Accounts and security

Some paid features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate information and notify us promptly of any unauthorised use.

19. Acceptable use

You agree to provide accurate information and to use the services only for lawful and legitimate purposes.

  • Do not scrape, harvest, overload, probe, interfere with or reverse engineer the site, its systems or its data sources.
  • Do not attempt to access other users' matters, workspaces or confidential information.
  • Do not resell or redistribute our proprietary reports, intelligence or tools except as expressly authorised.
  • Do not use the services to harass, deceive or unlawfully pressure a domain owner, evade sanctions, commit fraud, or facilitate infringement or any other unlawful conduct.

20. Intellectual property

Westmore and its licensors retain all rights in the site, software, reports, research methods, acquisition intelligence, databases, analyses, prompts, workflows, branding and other proprietary materials, which are protected by law. Unless otherwise agreed in writing, you receive a limited, non-exclusive, non-transferable right to use deliverables for your own legitimate purposes and do not acquire ownership of Westmore's methodologies, systems or underlying data. Any feedback you provide may be used by Westmore without restriction or obligation to you.

21. Confidentiality of your inquiries

We treat your non-public inquiries, target domains, buyer identity, budgets and negotiation information as confidential, and disclose them only as reasonably necessary to our personnel, contractors, professional advisers, service providers and transaction participants who need the information to provide the service, as authorised by you, or where required by law. Any broader confidentiality obligation is governed by a separately executed non-disclosure agreement or by the Buyer Agreement. See our Privacy Policy for how information is handled.

22. No guaranteed outcomes; "as is"

The site and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, availability or non-infringement, to the fullest extent permitted by law. Domain acquisition depends on factors outside Westmore's control and no outcome is guaranteed. Nothing excludes a warranty or right that cannot lawfully be excluded.

23. Limitation of liability

To the fullest extent permitted by law, Westmore, its principals, affiliates, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, business opportunity or acquisition opportunity, arising from or related to the services, including those arising from:

  • technical failures, registrar or registry errors, DNS delays, or third-party banking, escrow or payment-processor issues;
  • AI output, market intelligence, or any action you take in reliance on communications, advisory content or information supplied through the services.
  • For any specific paid service, Westmore's total aggregate liability will not exceed the amount you paid to Westmore for that service in the twelve (12) months before the event giving rise to the claim. For a free service, aggregate liability will not exceed CAD $100. These limitations do not apply where prohibited by law.

24. Indemnification

You agree to indemnify, defend and hold harmless Westmore, its principals, affiliates, officers, employees, contractors and agents from third-party claims, losses, liabilities, damages, costs and reasonable legal fees arising out of your breach of these Terms, your misuse of the services, your unlawful conduct or misrepresentation, your infringement of a third-party right, or your post-acquisition use of a domain or asset — except to the extent indemnification cannot lawfully be required.

25. Suspension and termination

We may suspend or terminate access to the site or any feature at any time to protect the service, comply with law, address non-payment, or respond to a material breach of these Terms. Provisions concerning confidentiality, intellectual property, payment obligations, non-circumvention, limitation of liability, indemnity, dispute resolution and others that by their nature should survive will survive termination.

26. Governing law and forum

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to mandatory law, the parties attorn to the exclusive jurisdiction of the courts located in Ontario, Canada. The parties may agree in writing to resolve a particular dispute by mediation or binding arbitration. Nothing in these Terms affects any non-waivable statutory rights you may have as a consumer.

27. Electronic acceptance and records

Checking an acceptance box, clicking an acceptance button, submitting a form after being presented with these Terms, or otherwise electronically indicating acceptance constitutes your electronic signature and your agreement to be bound, to the extent permitted by applicable law. Westmore may retain electronic records showing the version accepted, the date and time, account or contact information, and other reasonable evidence of assent.

28. Entire agreement, assignment and severability

These Terms, together with any applicable Buyer Agreement, order form or transaction-specific agreement, constitute the entire agreement governing the relevant service and supersede all prior discussions or understandings. If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect. You may not assign these Terms without Westmore's prior written consent, except as required by law; Westmore may assign them in connection with a reorganisation, financing, or sale of its business or substantially all relevant assets.

29. Changes

We may update these Terms prospectively as the service develops. Material changes will be identified on this page with a revised effective date. Your continued use after changes take effect constitutes acceptance of the updated Terms.

30. Contact

Questions about these Terms can be submitted through the current contact method shown on Westmore.com, referencing "Terms & Conditions".
